Portuguese Property: Notes for Advisers
A Portuguese property adviser works alongside a private client’s existing lawyers and tax advisers, not in their place: finding and screening property, negotiating, and coordinating the transaction, while legal, tax, and immigration work stays with the professionals the client has appointed. For advisers outside Portugal, the practical point is timing — Portuguese purchases usually become binding at the promissory contract, well before completion.
These notes are for private client lawyers, tax advisers, wealth managers, and family-office teams whose clients are considering property in Portugal.
The one qualification: every role, fee, and referral arrangement should be agreed in writing at the start.
Who these notes are for
Many international clients reach Portugal through an adviser they already trust — in London, Geneva, Paris, New York, Cape Town, Islamabad, Dubai, or Riyadh. That adviser knows the client’s structure, residence position, and family. The Portuguese side of the transaction relies on Portuguese lawyers and tax advisers, who carry the local legal work.
A property adviser sits between the two: close to the market, but not a substitute for either.
What a property adviser does, and where it stops
| The property adviser | The client’s legal and tax advisers |
|---|---|
| Turns the client’s requirements into a search brief | Advise on residence, structure, and tax, in Portugal and at home |
| Finds property, including off-market | Draft and review contracts |
| Screens against budget, location, and use | Carry out legal due diligence on title and encumbrances |
| Provides comparable evidence and market context | Advise on succession and estate planning |
| Negotiates commercial terms | Handle residency where relevant |
| Coordinates viewings, documents, and the timetable | Approve before the client commits |

Questions best answered before a property is chosen
These sit with the client’s own advisers. They are listed here only because the answers shape the search.
Residence. Whether owning a home in Portugal, and how it will be used, affects the client’s residence position anywhere.
Ownership. Personally, through a Portuguese company, or through an existing structure.
Home-jurisdiction rules. Reporting and controlled-company rules at home often decide how a client should hold the asset.
Succession. How the property should pass, and whether a choice of law is needed.
Source of funds. The documentation the client will need, prepared early and in their own name.
Financing. Whether the purchase will be financed, and on what conditions.
Residency. If relevant, a separate decision for immigration counsel. Buying property no longer qualifies for Portugal’s Golden Visa.
The search can run in parallel. It simply shouldn’t run ahead.
Where timing matters
Portuguese purchases usually begin with a promissory contract and a deposit. In general, a buyer who withdraws loses the deposit, and a seller who withdraws returns it in double, unless the contract provides otherwise.
So the promissory contract, not the deed, is usually the point of real commitment. In practice that means three things are worth confirming before it is signed: the structure the client will buy through, the funds and their documentation, and who will sign — in person or under a power of attorney prepared in advance.
A good property adviser will hold the timetable to the client’s counsel, not push it ahead of them.
Introducing a client discreetly
An introduction doesn’t need a name. A short description of the objective, budget range, regions, intended use, and timing is enough to begin.
An NDA first. A mutual NDA before identities are shared, extended to anyone else brought into the search.
Need-to-know. Personal information shared only with the professionals whose role requires it.
The client’s consent. To the introduction and to what is shared.
Verification still applies. Once a transaction proceeds, Portuguese anti-money-laundering rules require the client to be identified and the source of funds understood, with enhanced checks for politically exposed persons and their families.
What we need to start
The handover from adviser to property side. None of it requires the client’s name.
1. The objective — home, second home, investment, or a combination
2. Budget range — and whether it includes acquisition costs
3. Regions — in order of preference, and any ruled out
4. Property type — size, condition accepted, and anything non-negotiable
5. Intended use — personal, family, letting, or income
6. Timing — and anything fixing it, such as a school year or a sale elsewhere
7. Structure — decided, or still with counsel
8. Funding — cash or financed, in general terms
9. Decision-making — who decides, and who must approve
10. Confidentiality — how far the client’s identity must be protected
11. Point of contact — one person on the adviser’s side
12. Language — correspondence in English, Portuguese, or Spanish
What the adviser gets back
A shortlist with the reasoning behind it and comparable evidence of price. The property-side documents counsel will want to review — land registry and tax records, licences, energy certificate, condominium papers, and any leases. Regular updates on negotiation. And a timetable that waits for counsel’s sign-off.
Fees and referrals
Professional rules for lawyers and some other advisers restrict, prohibit, or require disclosure of referral arrangements, and they vary by jurisdiction. Any arrangement should follow those rules, be agreed in writing, and be disclosed to the client where required. Where the rules don’t allow one, the working relationship doesn’t depend on it.

FAQ
Can a Portuguese property adviser work alongside a client’s existing lawyers?
Yes. The property adviser handles the search, screening, negotiation, and coordination; legal, tax, and immigration work stays with the client’s appointed advisers in Portugal and at home.
When does a client become committed to a Portuguese purchase?
Usually at the promissory contract rather than the deed. A buyer who withdraws generally loses the deposit, and a seller who withdraws generally returns it in double, unless the contract provides otherwise.
Can a client be introduced without disclosing their identity?
Initially, yes. A brief covering objective, budget, regions, use, and timing is enough to begin, under a mutual NDA. Once a transaction proceeds, anti-money-laundering rules require the client to be identified.
What information does a property adviser need to begin?
The objective, budget range, preferred regions, property type, intended use, timing, the status of the ownership structure, funding in general terms, who decides, the level of confidentiality required, and a single point of contact.
How are referral arrangements with lawyers handled?
In line with the adviser’s own professional rules, which vary by jurisdiction. Any arrangement should be agreed in writing and disclosed where required; where rules don’t allow one, the relationship doesn’t depend on it.
